1. Acceptance of Terms

By downloading or using The Memor App, you agree to these Terms. The app connects Users seeking cemetery management tools with Vendors providing related services.

2. User Accounts & Responsibilities

Registration: You may sign up using email or third-party providers. You are responsible for maintaining the security of your account.

Gravesite Records: You are responsible for the accuracy of the information you upload regarding deceased individuals, including photos and biographical notes.

Community Conduct: You may use the Community Forum to share experiences. While anonymous posting is available, we reserve the right to remove content that violates our policies.

3. Location Services & Safety

Navigation: The app uses a "Man" icon to represent your real-time walking path on a satellite map. You agree to use this feature with caution and remain aware of your physical surroundings in the cemetery.

Visibility Modes: You are responsible for managing your privacy settings (Visible, Private, Ultra Private) via the map screen or settings menu.

4. Purchases & Reservations

Grave Reservations (Pre-Booking): If you reserve a grave, you must complete payment within 7 days. If payment is not received, the reservation will be automatically cancelled.

Vendor Services: You may order items (flowers, flags) or services (cleaning) from independent Vendors.

Payments: All payments are processed securely. You may use credit cards or mobile wallets.

5. Vendor Specific Terms

Commission: A platform commission will be deducted from every product sold or service booked through the app. This is deducted automatically from your wallet upon payout.

Fulfillment: You must update order statuses (Pending, Shipped, Delivered) in a timely manner.

Compliance: You are required to upload valid verification documents and tax information. Failure to comply may result in account suspension.

6. Limitation of Liability

Data Accuracy: While we support offline syncing, we are not liable for discrepancies caused by connectivity issues before a sync occurs.

Third-Party Services: We are not liable for the actions or omissions of Vendors or the functionality of third-party integrations like Agora (for streaming) or Google/Apple Maps.

7. Admin Rights

Moderation: Administrators reserve the right to suspend users or vendors and review cemetery submissions for content integrity.

System Settings: Administrators control app-wide settings and privacy configurations.

End User License Agreement (EULA)

1. Acknowledgment & Grant of License

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Elk Creek Ventures LLC ("Licensor") regarding your use of The Memor App ("Application").

Elk Creek Ventures LLC grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Application strictly for your personal, non-commercial use (unless registered as a Vendor) on devices owned or controlled by you.

This Agreement is concluded between you and Elk Creek Ventures LLC only, and not with Apple or Google. Elk Creek Ventures LLC is solely responsible for the Application and its content.

3. User-Generated Content & Tributes

The Application allows you to create records, upload photos of headstones, add musical tributes, and write notes regarding deceased individuals.

By uploading this content, you grant Elk Creek Ventures LLC a license to use, store, and display this content within the Application to facilitate features such as the Community Forum and Profile displays.

You represent that you own the rights to any media you upload and that your content does not violate the intellectual property or privacy rights of any third party.

4. Location Data & Safety Disclaimer

The Application uses GPS technology to provide "Satellite Map View" and "Real-Time Navigation" using a custom icon to track your path.

By using the Application, you consent to the collection and use of your location data.

Safety Warning: You acknowledge that the Application is used in physical environments (cemeteries). You agree to pay attention to your surroundings and not to rely solely on the Application for navigation. Elk Creek Ventures LLC is not liable for any injury or damage resulting from your use of the navigation features.

You acknowledge that map data is provided by third parties (Google Maps/Apple Maps) and may not always be accurate.

5. Third-Party Services

The Application integrates third-party services, including but not limited to Agora for live streaming events and payment processors for wallet transactions.

Your use of these features is subject to the respective terms and conditions of those third-party service providers.

6. Updates & Offline Data

The Application allows for offline viewing and editing, which auto-syncs when connectivity is restored.

Elk Creek Ventures LLC may from time to time provide updates or patches to the Application. You agree that the terms of this Agreement will apply to any such updates unless accompanied by a separate license.

7. Termination

The license is effective until terminated by you or Elk Creek Ventures LLC.

Your rights under this license will terminate automatically without notice if you fail to comply with any term(s) of this Agreement.

Upon termination, you shall cease all use of the Application and delete all copies of the Application from your devices.

8. Limitation of Liability

To the extent permitted by applicable law, Elk Creek Ventures LLC shall not be liable for any incidental, special, indirect, or consequential damages whatsoever, including damages for loss of profits, corruption or loss of data, or any other commercial damages or losses arising out of your use of or inability to use the Application.
